The short version
- Uspica is a board where companies find each other. We are not a buyer, seller or broker, and we do not handle goods or payments for goods.
- Posting listings is free. Sending an offer costs tokens.
- Offers that are not opened within 7 days are refunded automatically.
- You make your own deals. Always check your trade partner, the goods and the documents yourself.
- Be honest: no fake listings, fake certificates or attempts to get around the blind system.
1. About these terms
These terms are an agreement between you and Uspica Global (“Uspica”, “we”, “us”). By creating an account or using uspica.com, you accept them. If you use Uspica for a company, you confirm that you may accept these terms for it.
Our Privacy Policy explains how we handle personal data and is part of these terms.
2. What Uspica is
Uspica is an online board for business-to-business trade in certified organic products. Suppliers and buyers post offers and requests, send each other offers, and get each other’s contact details when the listing owner chooses to share them.
- We are not a party to any deal between members. We are not a buyer, seller, broker or agent.
- We do not inspect, store, ship or insure goods, and we do not hold or transfer payments for goods.
- We do not promise that you will find a trade partner or close a deal.
3. Your account
- You must be at least 18 years old and use Uspica for business.
- Give true and up-to-date information about yourself and your company.
- One person, one account. Do not open extra accounts, for example to get more free offers.
- Keep your password safe. You are responsible for what happens in your account.
4. Blind trade
Company names and contact details stay hidden until the listing owner shares contact details on an offer. To keep this fair for everyone:
- Do not put company names, logos, email addresses, phone numbers, websites or other contact details in listings, offers, photos or documents.
- Do not try to contact other members outside Uspica before contact details are shared.
We may remove such details or the content that contains them.
5. Listings
- Posting offers and requests is free.
- Listings must describe real products you can supply or really want to buy.
- Information must be correct, including quantity, origin, quality and price per unit.
- Organic certificates and lab reports must be real, valid and belong to you or your supplier.
- You must have the right to use every photo and document you upload.
We may edit the layout of a listing, hide it or remove it if it breaks these terms.
6. Offers and tokens
- Each offer costs 3 tokens. You see the price before you send it.
- New members get 5 free offers after they confirm their email address. Free offers are given once per email inbox.
- An offer cannot be for less than the minimum order quantity of the listing.
- If the listing owner does not open your offer within 7 days, the tokens (or the free offer) go back to your account automatically.
- Once your offer is opened, the tokens are used, whatever the result of the talks.
- Tokens have no cash value. They cannot be sold, transferred to another account or exchanged for money. They do not expire while your account is open.
- Feature a listing at the top of the Trade Board: 10 tokens for 7 days.
- Tokens for a featured listing are used as soon as featuring starts and are not refunded, also when the listing is closed early.
You can buy token packs by card or other payment methods shown at checkout. Prices are shown in US dollars before you pay. Our payment provider processes the payment.
Paid token packs are not refunded in money, except when a payment was charged by mistake or the law requires a refund. Our Token Refund Policy has the details.
We may change token prices or the number of tokens an offer costs. Changes never affect offers you have already sent or tokens you already have.
7. Deals between members
Every deal is made directly between the buyer and the seller, under the contract they agree on. Before you sign or pay, check your trade partner, the goods, the certificates, samples, payment terms and shipping yourself.
Offers on Uspica are not binding. Sending an offer, or sharing contact details on one, does not accept it and does not create a contract. A deal exists only when the buyer and the seller agree on it between themselves.
Labels such as “Verified Exporter” mean we checked certain account details. They are not a guarantee of quality, payment or delivery.
We are not responsible for disputes between members, but please tell us about any member who acts dishonestly.
8. What is not allowed
- Fake, misleading or copied listings, offers or documents.
- Selling products as organic when they are not certified organic.
- Illegal or restricted goods, or trade with people, companies or countries under sanctions.
- Spam, harassment, or messages that are not about a real trade.
- Copying data from the site with bots or scrapers, or trying to break or overload the site.
- Getting around the blind system or the token fees.
- Using other people’s names, accounts, photos or documents without permission.
9. Your content
You keep ownership of what you post. You allow us to store, show, resize and translate it so we can run Uspica. This permission ends when you delete the content or close your account, except for copies we must keep by law.
10. Closing or suspending accounts
You can close your account at any time by writing to support@uspica.com.
We may suspend or close an account that breaks these terms, puts other members at risk or breaks the law. If we close an account for that reason, its unused tokens are lost. In other cases we will give you notice where we can.
11. Our site and brand
The Uspica name, logo, design and software belong to us. You may not copy or reuse them without our written permission.
12. No guarantees
We work hard to keep Uspica running and correct, but we provide it “as is”. We do not guarantee that the site will always be available or free of errors, or that information posted by members is correct.
13. Limits of our liability
As far as the law allows, we are not liable for losses caused by deals between members, or for indirect losses such as lost profit, lost business or lost data.
Our total liability to you is limited to the amount you paid us for tokens in the 3 months before the claim.
Nothing in these terms limits liability that cannot be limited by law.
14. Your responsibility
If someone makes a claim against us because of your listings, your deals or your breach of these terms, you agree to cover the reasonable costs and losses this causes us.
15. Changes to these terms
We may update these terms. We will change the date at the top of this page, and tell you by email about important changes before they take effect. If you keep using Uspica after that, the new terms apply.
16. Law and disputes
If you have a problem with Uspica, please write to support@uspica.com first. Most issues can be solved quickly that way.
These terms are governed by the laws of the State of New Mexico, United States. Any dispute that we cannot solve together will be decided by the courts of Albuquerque, New Mexico.
